General terms and conditions

§1 Scope and subject matter of the contract

(1) These general terms and conditions (GTC) apply to all services provided by SalesElite® Consulting Group LLC in the area of sales consulting, coaching, mentoring, strategy development and the implementation of training, workshops and other consulting services.

(2) The terms and conditions apply exclusively to entrepreneurs within the meaning of Section 14 BGB, legal entities under public law or special funds under public law. The services are expressly not aimed at consumers within the meaning of § 13 BGB.

§2 Conclusion of contract

(1) The contract is concluded through written or electronic order by the client and through our order confirmation.

(2) Additional agreements, changes or additions require written confirmation by us. Offers are subject to change and non-binding, unless expressly marked as binding.

§3 Scope of services

(1) The specific scope of services results from the individually concluded contract, offer or concept document. The content, objectives, duration and methodology of the consultation or training are coordinated jointly in advance.

(2) A specific success (e.g. increase in turnover, employee recruitment, scaling) is not owed unless expressly guaranteed in writing.

§4 Remuneration and terms of payment

(1) The fees agreed in the offer or contract apply. All prices are net plus statutory sales tax.

(2) Unless otherwise agreed, remuneration is due as follows:

  • 100% of the fee before the start of the service,
  • For ongoing programs, in accordance with an agreed payment schedule.

(3) If the customer defaults on payment, we are entitled to charge default interest at the statutory rate and to suspend further services until payment is made.

§5 Customer's obligations to cooperate

(1) The customer undertakes to provide all information, documents and access required to perform the service in good time.

(2) Delays due to lack of cooperation obligations extend the performance period accordingly. There is no right to a refund in this case.

§6 Cancellation, rebooking, withdrawal

(1) Booked services can be cancelled free of charge up to 14 days before the start of the service. After that, 50% cancellation fees apply, from 48 hours before the start, 100%.

(2) Rebookings are possible up to 7 days before the appointment by appointment. There is no legal claim.

(3) In the event of force majeure, illness or other unforeseeable events, we reserve the right to postpone services.

§7 Confidentiality and data protection

(1) Both parties commit themselves to confidentiality with regard to all information that has become known as part of the cooperation.

(2) Personal data is processed exclusively within the framework of applicable data protection laws. Our privacy policy is available at salesdriven.io/en/ privacy retrievable.

§8 Rights of use

(1) All documents, methods, presentations or concepts provided as part of the service are subject to the copyright of SalesElite® Consulting Group LLC.

(2) Disclosure to third parties or use outside the agreed purpose requires prior written consent.

§9 Warranty and liability

(1) The statutory warranty regulations apply, unless otherwise agreed.

(2) We are only liable for damage based on intentional or grossly negligent conduct. No liability is assumed for lost profit or indirect damage.

§10 Final provisions

(1) The laws of the Federal Republic of Germany apply exclusively. The place of fulfilment is Rostock. Where permitted, the place of jurisdiction is Rostock.

(2) Should a provision of these terms and conditions be or become invalid in whole or in part, the effectiveness of the remaining provisions remains unaffected.
